Terms of Service
These Terms of Service ("Terms") govern your access to and use of the CoursePortify platform operated by Konero Analytics & Machine Learning LLC ("CoursePortify", "we", "our", or "us"). Please read them carefully. By accessing or using CoursePortify you agree to be bound by these Terms.
If you are using CoursePortify on behalf of an organization, you represent that you are authorized to bind that organization, in which case "you" refers to that organization.
1. Acceptance & eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use CoursePortify. By creating an account or using the service, you affirm that you meet this requirement and that you have the authority to enter into these Terms.
CoursePortify is intended for professional, educational, and institutional use. Consumer-style protections that may apply in some jurisdictions (other than as expressly required by applicable law) do not apply.
2. The service
CoursePortify is a software-as-a-service platform that ingests course-content packages (such as IMS Common Cartridge files), translates them into a target language using machine translation and large language models, and generates evaluation reports describing translation quality. The platform integrates senior pedagogical experts at validation checkpoints described on our public pages.
We may add, modify, or remove features at any time. Material reductions to paid functionality will be announced in advance via email or posted notice.
3. Accounts & access
- You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account.
- Authentication is provided by Clerk, Inc. and is subject to Clerk's authentication terms in addition to these Terms.
- You must notify us promptly at contact@koneroanalyticsml.com if you suspect unauthorized access.
- We may suspend or terminate accounts that violate these Terms, that we reasonably suspect have been compromised, or where required by law.
4. Fees, billing & taxes
Pricing is published at https://courseportify.koneroanalyticsml.com/pricing and presented to you before you authorize a job. You agree to pay all fees associated with jobs you initiate, in U.S. dollars, via the payment methods supported through Stripe.
- Per-job billing. CoursePortify bills per translation or evaluation job, based on the tier you select and the word count of the uploaded course.
- Authorization at checkout. By completing checkout you authorize us, through Stripe, to charge your selected payment method for the displayed amount.
- Taxes. Listed prices do not include sales, use, value-added, or similar taxes. You are responsible for all such taxes that apply to your purchase. We may collect these where required by law.
- Failed payments. If a payment fails or is reversed, we may suspend processing of associated jobs and downloads until payment is resolved.
5. Refunds & chargebacks
Refund eligibility is described in our Refund Policy, which is incorporated into these Terms. In summary: refunds may be available before processing has begun; once translation or evaluation work has started, jobs are non-refundable but may be eligible for human re-review at no additional charge.
If you initiate a chargeback that we determine to be invalid, we may suspend your account and recover the disputed amount and any associated fees from you, including via collections.
6. Acceptable use
You agree NOT to:
- Upload content you do not own or have a license to translate or evaluate.
- Upload student personally identifiable information ("PII"), graded student work, or other "education records" subject to FERPA, except under a written agreement that authorizes such processing.
- Upload personal health information regulated under HIPAA, payment-card data regulated under PCI DSS, or any other data category we have not approved in writing.
- Attempt to reverse-engineer, scrape, decompile, or otherwise misuse the platform or its underlying APIs except as expressly permitted.
- Use the service to create content that is unlawful, defamatory, harassing, infringing, deceptive, or harmful, or to develop a competing service.
- Probe, scan, or test the vulnerability of the platform without prior written authorization, or interfere with the platform's operation.
- Use the platform in any way that violates U.S. export controls or sanctions, or that processes content from sanctioned jurisdictions.
We may remove content that violates these Terms and may suspend or terminate accounts engaged in prohibited use.
7. Your content & the license you grant us
You retain all rights, title, and interest in the course content and other materials you upload to CoursePortify ("Your Content"). You grant CoursePortify a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and process Your Content solely as necessary to provide the service to you, to perform the translation or evaluation you request, and to comply with law. This license ends when Your Content is deleted from our systems.
You represent and warrant that you have all rights necessary to grant the license above and that Your Content does not violate the rights of any third party.
We do not use Your Content to train general-purpose machine-learning models for ourselves or for any third party.
8. Our intellectual property
The CoursePortify platform, including its software, design, branding, workflows, and documentation, is owned by Konero Analytics & Machine Learning LLC and is protected by copyright, trademark, trade secret, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely in accordance with these Terms. You may not copy, modify, distribute, sell, lease, or sublicense any portion of the platform, except as expressly permitted.
9. Confidentiality
Each party may receive non-public information from the other ("Confidential Information"). Each party will use Confidential Information only to perform its obligations under these Terms, will protect it with reasonable care, and will not disclose it to anyone except its personnel and sub-processors bound by confidentiality obligations at least as protective. This section does not apply to information that is or becomes publicly known through no fault of the receiving party, was rightfully known before disclosure, or is independently developed without reference to the other party's information.
10. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. Institutional buyers may request our Data Processing Addendum ("DPA") at contact@koneroanalyticsml.com.
11. Third-party services
CoursePortify integrates with third-party services including Clerk (authentication), Stripe (payments), and Google Cloud (hosting, machine translation, large language models). Your use of those services is also governed by their respective terms and policies. We are not responsible for the acts or omissions of any third-party service except to the extent they are acting on our documented instructions as a sub-processor.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
Translation and evaluation outputs are produced by automated systems, including third-party large language models. While we use a Human-in-the-Loop quality protocol, outputs may contain errors, inaccuracies, or misinterpretations and are not a substitute for human professional review before classroom use. CoursePortify does not guarantee specific accuracy levels for any particular content.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT FOR EACH PARTY'S INDEMNIFICATION OBLIGATIONS, BREACHES OF SECTION 6 (ACCEPTABLE USE), BREACHES OF SECTION 9 (CONFIDENTIALITY), AND ANY AMOUNTS OWED FOR FEES, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the limitations above apply to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Konero Analytics & Machine Learning LLC and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your violation of these Terms; or (c) your violation of any law or the rights of any third party.
15. Term & termination
- These Terms remain in effect while you have an account or use the service.
- You may stop using the service and request account deletion at any time by emailing contact@koneroanalyticsml.com.
- We may suspend or terminate your access immediately if you breach these Terms, if continued provision exposes us to legal risk, or if you cease to maintain a valid payment method for active jobs.
- Sections 5, 7, 8, 9, 12, 13, 14, 16, 17, and 19 survive termination.
16. Governing law & venue
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Subject to the dispute-resolution section below, the state and federal courts located in Colorado have exclusive jurisdiction over any disputes arising out of or relating to these Terms.
17. Dispute resolution
Before filing a claim against us, you agree to first email contact@koneroanalyticsml.com with a written description of the dispute and proposed resolution. We will attempt in good faith to resolve the dispute within thirty (30) days. If the dispute is not resolved within that period, either party may pursue relief in the courts identified above.
Each party waives any right to participate in a class, collective, or representative action against the other to the maximum extent permitted by applicable law.
18. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the "Last updated" date and, where appropriate, notify you by email or posted notice before the change takes effect. Your continued use of the service after a revised version becomes effective constitutes acceptance of the changes. If you do not agree to the changes, you must stop using the service.
19. General
- Entire agreement. These Terms, together with our Privacy Policy, Refund Policy, and any order form or DPA executed between us, constitute the entire agreement between you and CoursePortify regarding the service and supersede all prior agreements on the subject.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full force.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.
- Force majeure. Neither party is liable for any delay or failure to perform caused by events outside its reasonable control.
- Notices. Notices to CoursePortify must be sent to contact@koneroanalyticsml.com. Notices to you may be sent to the email associated with your account.
- Independent contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
- U.S. government users. The service is "commercial computer software" as that term is defined in 48 C.F.R. § 12.212. U.S. government use is subject only to the rights granted in these Terms.
